If you are involved in a business agreement, one of the first things you need to determine is whether the promise or agreement in question is considered a binding contract under the law. While contracts usually involve promises to do (or refrain from doing something), not all promises are contracts. How does the law determine which promises are enforceable contracts and which are not? When a party takes legal action for breach of contract, the first question the judge must answer is whether a contract existed between the parties. The complaining party must demonstrate four elements to prove the existence of a contract: For a contract to be valid, it must have four key elements: agreement, capacity, consideration and intent. If the agreement does not meet the legal requirements to be considered a valid contract, the „contractual agreement“ will not be enforced by law, and the infringing party will not have to compensate the non-infringing party. That is, the plaintiff (non-offending party) in a contractual dispute suing the infringing party can only receive expected damages if he can prove that the alleged contractual agreement actually existed and was a valid and enforceable contract.
